The Contract Attorney is responsible for owning the drafting, review, negotiation and risk assessment of a broad range of commercial agreements and legal documents (MSAs, NDAs, SOWs, vendor agreements, licensing agreements, distribution agreements and amendments). This role partners closely with business stakeholders (sales, procurement, product, privacy/security and finance) to deliver pragmatic legal solutions, reduce commercial risk, accelerate deal velocity and maintain day-to-day contract lifecycle management using CLM systems. The ideal candidate combines strong legal drafting and negotiation experience, excellent commercial judgment, familiarity with corporate and regulatory frameworks, and a track record of managing matter workflows and outside counsel relationships.

Core Responsibilities

Primary Functions

  • Draft, review and revise a high volume of complex commercial agreements including master service agreements (MSAs), statements of work (SOWs), non-disclosure agreements (NDAs), software licensing agreements, reseller and distribution agreements, professional services agreements, and vendor/provider contracts with clear, client-facing language that mitigates risk while enabling business objectives.
  • Lead contract negotiations with customers, vendors and partners across multiple jurisdictions, proposing commercially viable alternatives, preparing redline versions, documenting negotiation history, and escalating material legal risk to senior counsel.
  • Conduct detailed legal and commercial risk assessments for each contract and summary memos for business stakeholders that highlight key obligations, termination rights, indemnities, IP ownership, liability caps, and insurance requirements to facilitate faster decision-making.
  • Manage the end-to-end contract lifecycle in a Contract Lifecycle Management (CLM) system (e.g., DocuSign CLM, Icertis, Agiloft), including ingestion, clause tagging, playbook enforcement, version control, signature execution and reporting on cycle times and bottlenecks.
  • Create, maintain and optimize contract playbooks, template libraries, standard clause banks and automated approval matrices to standardize language, accelerate review cycles and reduce outside counsel spend.
  • Provide day-to-day legal advice to sales, product, procurement, finance and operations on contract terms, compliance obligations, pricing and payment terms, delivery timelines, service levels and commercial remedies.
  • Support merger & acquisition due diligence by reviewing target contracts for change-of-control provisions, assignment restrictions, termination clauses, and other deal-impacting provisions and preparing diligence summaries and risk matrices.
  • Lead contract audits and remediation projects to ensure legacy agreements align with current corporate policies, privacy/security requirements and commercial models, including negotiating amendments and restatements when necessary.
  • Advise on privacy, data processing and cross-border data transfer clauses in agreements, coordinate with privacy/security teams, and ensure contractual protections align with GDPR, CCPA and other applicable data protection frameworks.
  • Draft and negotiate confidentiality and IP assignment provisions to protect company inventions, trade secrets and license rights, and coordinate with IP counsel on patent and trademark assignment language and licensing structures.
  • Serve as primary legal support for sales teams on RFP responses and commercial proposals, reviewing terms and conditions, proposing redlines and ensuring consistency between proposals, SOWs and master agreements.
  • Manage outside counsel relationships for specialized or high-risk matters, prepare scope-of-work and budget proposals, run e-billing reviews and ensure alignment with internal billing and approval procedures.
  • Assist with dispute prevention and resolution by documenting contract performance issues, drafting breach notices, negotiating cure plans, and when necessary, supporting litigation counsel with contract-related fact development and document production.
  • Monitor regulatory and market developments relevant to contracting (e.g., export controls, sanctions, anti-corruption, industry-specific regulations) and update contract templates and playbooks to ensure compliance.
  • Produce executive-level summaries and KPIs for legal leadership and business unit heads, including throughput metrics, cycle time reductions, common negotiation positions, and outstanding contractual risks requiring escalation.
  • Train and coach non-legal stakeholders (sales, procurement, account managers) on contract basics, approval thresholds, signature authority, and red-flag clauses to improve contract intake quality and reduce legal bottlenecks.
  • Lead cross-functional projects to implement process improvements such as automated clause selection, e-signature rollouts, or integration between CRM and CLM systems to reduce manual handoffs and increase contract velocity.
  • Prepare and manage templates and documentation for subscription billing, usage-based pricing, change orders and renewals to ensure correct commercial terms are reflected in agreements and billing systems.
  • Execute termination, transition and wind-down agreements for customer and vendor relationships, ensuring business continuity, data return/destruction obligations and minimal exposure.
  • Provide legal support for employment-related contract matters where relevant, including contractor agreements, consulting agreements, independent contractor determinations and confidentiality/IP covenants.
  • Respond to urgent legal intake requests, triage priority matters, set realistic timelines for reviews and negotiate interim agreements or letters of intent to allow business activity pending final documentation.
  • Maintain accurate matter and time records for billing purposes (hourly or project-based), support budget forecasting for legal projects, and provide transparency on legal spend to operations and finance teams.

Secondary Functions

  • Participate in cross-functional legal-ops initiatives to improve intake forms, triage rules and SLA targets for routine contract reviews.
  • Support periodic contract compliance reviews and readiness assessments for audits and third-party certifications.
  • Help maintain the legal knowledge base and FAQs for internal self-serve resources on common contract clauses and negotiation playbooks.
  • Collaborate with finance and revenue ops to reconcile contract terms with invoicing, revenue recognition and billing disputes.
  • Assist in preparing training materials and conducting workshops for new hires in sales and procurement on contract best practices.
  • Collect and analyze contract data to identify recurring negotiation items and propose policy or playbook updates that reduce negotiation friction.
  • Coordinate with product and engineering to ensure SOWs accurately reflect scope, deliverables, acceptance criteria and SLAs.
  • Support special projects such as international product launches, regulatory filings, and strategic partnerships by providing contract-related legal guidance.

Required Skills & Competencies

Hard Skills (Technical)

  • Mastery of drafting, redlining and negotiating commercial agreements (MSAs, NDAs, SOWs, licensing, services agreements, vendor/supplier contracts) with a strong focus on risk allocation and enforceability.
  • Practical experience with Contract Lifecycle Management (CLM) tools such as DocuSign CLM, Icertis, Agiloft, Conga or Ironclad, including template management and automated workflow configuration.

  • Proficiency with Microsoft Office (Word with Track Changes expertise, Excel for contract analysis) and collaboration tools such as Salesforce, Jira, Slack and Concur.
  • Demonstrated ability to manage outside counsel, negotiate fee arrangements, and monitor e-billing and matter budgets.
  • Strong drafting of commercial memos, negotiation playbooks, and executive summaries that inform business decisions.
  • Experience with discovery and litigation support relating to contracts, including document preservation, privilege logging and coordinating with litigation teams.

Education & Experience

Educational Background

Minimum Education:

  • Juris Doctor (JD) or equivalent law degree from an accredited law school.
  • Active bar membership (admitted to practice law in at least one U.S. jurisdiction). For contract attorney roles requiring immediate in-house practice, bar admission in the hiring jurisdiction may be preferred.

Preferred Education:

  • LLM or additional certification in corporate law, privacy, IP or compliance is a plus.
  • Coursework or certificate in contract drafting, negotiation, corporate transactions or legal operations.

Experience Requirements

  • Prior in-house experience supporting cross-functional teams (sales, procurement, product) and managing CLM systems.
  • Demonstrated track record of independently handling high-volume contract workflows, negotiation lead on enterprise deals, and creating scalable contracting playbooks.
  • Experience with international contracting and cross-border data transfer clauses, or industry-specific regulatory experience (healthcare, financial services, government contracting) depending on role requirements.
