Core Responsibilities
Primary Functions
- Draft, review and negotiate a wide range of commercial contracts including master services agreements, SaaS agreements, reseller and distribution agreements, NDAs, professional services agreements, licensing agreements, and supplier/vendor contracts, ensuring favorable commercial and legal terms that mitigate risk and align with company objectives.
- Provide timely, pragmatic day-to-day legal advice to business partners (sales, product, marketing, HR, finance, and operations) on contract interpretation, risk allocation, warranty and liability exposure, and escalation pathways to enable deal velocity while protecting the company.
- Lead and coordinate legal due diligence and documentation for mergers, acquisitions, joint ventures and strategic investments, preparing diligence reports, negotiating transaction documents (purchase agreements, disclosure schedules, escrow arrangements) and working closely with external counsel and deal teams to drive transactions to close.
- Manage corporate governance matters, including preparation and maintenance of corporate records, board and committee materials, minutes, board resolutions, capitalization tables, and support for board meetings and special corporate actions.
- Design, implement and maintain compliance programs related to data privacy (GDPR, CCPA), anti-corruption (FCPA/UK Bribery Act), export controls, trade sanctions, and industry-specific regulatory requirements, including drafting policies and conducting periodic risk assessments.
- Counsel on employment and workforce matters in partnership with HR, including drafting employment agreements, independent contractor arrangements, severance and termination documents, advising on workplace investigations, discrimination/harassment complaints, and compliance with wage-hour and leave laws.
- Manage outside counsel relationships: select, engage and oversee external law firms, negotiate fee arrangements, monitor budgets and outcomes, and coordinate multi-jurisdictional legal workstreams to ensure cost-effective delivery.
- Develop and deliver training and compliance materials for employees across the organization on topics such as contract practices, data privacy, export controls, anti-corruption, and information security, promoting a strong legal and ethical culture.
- Identify, assess and manage litigation, arbitration, and regulatory matters in coordination with external counsel, including strategy development, settlements, discovery oversight, and budget management to minimize exposure and reputational risk.
- Advise on intellectual property matters including ownership and assignment of inventions, trademark and copyright strategy, open source licensing compliance, and IP provisions in commercial agreements to protect company innovation and minimize infringement risk.
- Review and negotiate commercial terms for high-value deals and strategic partnerships, including pricing, indemnities, service-level agreements, termination rights, and limitation of liability clauses, aligning legal positions with commercial goals and risk appetite.
- Support product development and go-to-market teams by assessing legal and regulatory issues relevant to new products, features or markets, including cross-border data transfers, consumer protections and industry-specific compliance requirements.
- Prepare, review and file corporate registries, securities filings and disclosure materials as required (for public companies: SEC filings, insider trading policies, disclosure controls) and advise on insider trading, stock option plans and executive compensation compliance.
- Build, maintain and improve contract templates, playbooks, standard terms and approval workflows to streamline contracting lifecycle, reduce negotiation cycles and ensure consistency in legal protections across business units.
- Conduct internal investigations and coordinate responses to regulatory inquiries or government investigations, drafting responses and remediation plans where necessary and advising executives on communications strategy.
- Provide commercial risk assessments and pragmatic solutions for rapidly evolving matters, offering trade-offs and negotiation strategies to non-legal stakeholders so that decisions are legally informed and operationally feasible.
- Drive legal process improvements, adopt legal tech tools (CLM, e-signature, matter management) and collaborate with Legal Ops to standardize workflows, report on legal metrics and increase departmental scalability.
- Maintain up-to-date knowledge of applicable laws and industry trends, advising leadership on regulatory developments, emerging risks and recommended policy changes to ensure ongoing legal compliance.
- Negotiate and manage complex vendor relationships including cloud services, data processing agreements, and professional services engagements, ensuring data protection, uptime commitments and appropriate indemnities.
- Oversee privacy and data protection compliance activities such as drafting privacy notices, executing Data Processing Agreements (DPAs), advising on lawful bases for processing, and assisting with incident response and data breach notifications.
- Counsel on cross-border legal issues including local regulatory compliance, tax implications for transactions, international employment and secondment arrangements, and jurisdictional dispute resolution strategies.
Secondary Functions
- Support contract lifecycle management by maintaining contract repositories, tagging key terms, and ensuring renewals, termination windows and notice periods are tracked and communicated to business owners.
- Assist with insurance coordination and claims management by reviewing insurance policies, advising on coverage positions and coordinating with brokers and insurers on claim responses.
- Collaborate with finance and treasury on corporate financings, debt facilities and covenant compliance, reviewing loan documents, guarantees, security agreements and advising on compliance with financial covenants.

Education & Experience
Educational Background
Minimum Education:
- Juris Doctor (JD) or equivalent law degree from an accredited law school; member in good standing of the bar in at least one U.S. jurisdiction (or local equivalent for non-U.S. roles).
Preferred Education:
- JD with honors or relevant LLM (e.g., in corporate/commercial law, international business law) and/or coursework in data privacy, IP, or securities law.
