Core Responsibilities

Primary Functions

  • Serve as the primary legal advisor to the CEO, the executive leadership team, and the Board of Directors, offering sound, strategic counsel on a full spectrum of legal and business issues.
  • Develop, lead, and execute the corporate legal strategy to promote and protect the company's interests while supporting its strategic objectives and long-term growth.
  • Provide expert guidance on complex corporate governance matters, acting as Corporate Secretary to manage board and committee meetings, minutes, resolutions, and compliance with governance best practices.
  • Lead the legal aspects of all major corporate transactions, including mergers, acquisitions, divestitures, joint ventures, and strategic partnerships from initial structuring and due diligence through negotiation and integration.
  • Oversee the company's entire litigation portfolio and dispute resolution efforts, managing internal and external counsel to achieve favorable outcomes while effectively controlling costs.
  • Ensure the organization maintains robust compliance with all applicable laws, regulations, and industry standards across all domestic and international jurisdictions in which it operates.
  • Structure, draft, and negotiate a wide array of high-stakes commercial agreements, including master service agreements, technology licensing deals, and major vendor and customer contracts.
  • Manage and protect the company's valuable intellectual property portfolio, including patents, trademarks, and copyrights, and develop a comprehensive IP strategy aligned with business goals.
  • Advise on labor and employment law issues, including executive compensation, employee relations, internal investigations, diversity and inclusion initiatives, and litigation avoidance.
  • Oversee the legal dimensions of corporate financing activities, such as debt and equity offerings, credit facilities, and other capital-raising efforts.
  • Anticipate, identify, and analyze legal and regulatory risks, and develop proactive, practical strategies and policies to mitigate potential liabilities before they materialize.
  • Lead the company's data privacy and cybersecurity legal strategy, ensuring compliance with evolving global regulations like GDPR and CCPA and managing data breach responses.
  • Advise on public company reporting and disclosure requirements, overseeing the preparation and filing of documents with the SEC, such as 10-Ks, 10-Qs, proxy statements, and 8-Ks.
  • Build, manage, and mentor a high-performing in-house legal team, fostering a culture of collaboration, professional development, and business partnership.
  • Establish and manage the legal department's annual budget, resource allocation, and operational efficiency, including the selection and management of all outside counsel.
  • Lead or provide critical legal support for sensitive internal investigations related to compliance, ethics, or employee misconduct, ensuring a fair and thorough process.
  • Partner closely with business units like Sales, Marketing, and R&D to provide pragmatic legal guidance on new product launches, market expansion, and go-to-market strategies.
  • Represent the company before regulatory bodies, government agencies, and other external stakeholders on critical legal and policy matters.
  • Stay abreast of legislative changes, judicial decisions, and evolving regulatory landscapes that could impact the company and translate that knowledge into actionable advice.
  • Oversee the company's enterprise-wide risk management framework in close collaboration with finance, compliance, and internal audit functions.

Education & Experience

Educational Background

Minimum Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Typical Experience Range: 15-20+ years of progressive legal experience.
