Core Responsibilities

Primary Functions

  • Draft, review, and meticulously analyze a wide variety of legal documents and commercial agreements, including but not limited to NDAs, MSAs, SOWs, and vendor contracts, ensuring they align with company policies and mitigate potential risks.
  • Conduct comprehensive and in-depth legal research on complex points of law, statutes, and regulations using platforms like Westlaw and LexisNexis to provide well-reasoned legal memoranda and opinions for senior attorneys.
  • Provide crucial support in all phases of litigation, from initial case assessment and discovery management (including e-discovery) to drafting pleadings, motions, and pre-trial filings.
  • Assist in the management of corporate governance matters, including preparing board resolutions, maintaining corporate records and minute books, and ensuring compliance with state and federal corporate formalities.
  • Perform thorough due diligence for corporate transactions such as mergers, acquisitions, and financing rounds, by reviewing target company documents and summarizing key findings and potential liabilities.
  • Serve as a key point of contact for internal business clients, providing practical and timely legal advice on a range of day-to-day operational issues to enable sound business decisions.
  • Actively monitor and analyze new and developing legislation, regulations, and case law that could impact the organization's operations, and prepare summaries and strategic recommendations for the legal team.
  • Manage and organize extensive case files and transactional documents, utilizing case management software to ensure all materials are accurately logged, tracked, and readily accessible.
  • Assist senior counsel in preparing for depositions, hearings, trials, and corporate meetings, including the preparation of witness files, exhibit lists, and presentation materials.
  • Negotiate terms and conditions of standard commercial contracts with external parties, effectively communicating the company's position while seeking mutually agreeable solutions.
  • Support the intellectual property portfolio by assisting with trademark and copyright filings, tracking deadlines, and conducting preliminary clearance searches.
  • Respond to subpoenas and other legal requests for information, carefully gathering and reviewing responsive documents while asserting applicable privileges.
  • Aid in the development and implementation of internal corporate policies and compliance training programs to foster a culture of legal and ethical integrity across the organization.
  • Prepare and file various corporate and regulatory documents with governmental agencies, such as the SEC, state Secretaries of State, and other regulatory bodies.
  • Collaborate closely with cross-functional teams, including Finance, HR, and Sales, to provide integrated legal guidance on new products, initiatives, and business strategies.
  • Manage relationships with outside counsel, including coordinating on specific matters, reviewing invoices, and ensuring efficient use of external legal resources.
  • Handle the initial drafting and review of real estate documents, such as lease agreements and purchase contracts, under the supervision of senior attorneys.
  • Provide legal support on employment-related matters, including reviewing offer letters, separation agreements, and internal HR policies to ensure compliance with labor laws.
  • Participate in internal investigations related to compliance, ethics, or employee relations, assisting with interviews, document collection, and report drafting.
  • Contribute to the continuous improvement of the legal department’s processes and templates, identifying opportunities for increased efficiency and effectiveness in legal service delivery.

Secondary Functions

  • Assist in managing the legal department's budget, including tracking expenses and forecasting costs for ongoing matters.
  • Participate in professional development and continuing legal education (CLE) to stay current on legal trends and maintain professional licensure.
  • Contribute to pro bono initiatives and community service efforts sponsored by the firm or company.
  • Mentor junior paralegals or legal interns, providing guidance and feedback on their work and professional growth.

Education & Experience

Educational Background

Minimum Education:

  • Juris Doctor (J.D.) degree from an American Bar Association (ABA) accredited law school.
  • Admitted to the bar and in good standing in at least one U.S. state.

Preferred Education:

  • J.D. with academic honors (e.g., cum laude, Order of the Coif) and/or significant participation in Law Review, Moot Court, or a similar journal/competition.

Relevant Fields of Study:

  • Law
  • Business, Finance, or a technical field as a complementary undergraduate degree.

Experience Requirements

Typical Experience Range:
1-4 years of post-bar experience, typically gained in a reputable law firm or a sophisticated in-house legal department.

Preferred:
Experience directly relevant to the organization's industry (e.g., technology, finance, healthcare) or within a specialized practice area such as Corporate/M&A, Litigation, or Intellectual Property. Prior experience in a judicial clerkship is also highly valued.
