Core Responsibilities
Primary Functions
- Commercial Contract Management: Draft, review, negotiate, and advise on a high volume of complex commercial agreements, including master services agreements (MSAs), SaaS subscriptions, vendor contracts, partnership and reseller agreements, and non-disclosure agreements (NDAs).
- Strategic Legal Advisory: Serve as a primary legal advisor to various business units, including Sales, Product, Marketing, and HR, providing practical and timely guidance on a wide array of legal issues.
- Corporate Governance: Manage corporate governance and entity management activities, including drafting board resolutions, maintaining corporate records, and ensuring compliance with corporate formalities across multiple jurisdictions.
- Risk Mitigation & Compliance: Proactively identify and mitigate legal risks across the business; develop, implement, and enforce company policies and procedures to ensure compliance with applicable laws and regulations.
- Data Privacy & Security: Advise on global data privacy and security laws (such as GDPR, CCPA/CPRA, etc.), review data processing agreements, and collaborate with IT and security teams to manage the company's privacy program.
- Intellectual Property Management: Assist in managing and protecting the company's intellectual property portfolio, including trademarks, copyrights, and trade secrets, and advise on IP-related issues in commercial contracts and product development.
- Dispute Resolution & Litigation: Handle pre-litigation disputes and claims, developing strategies for resolution and, when necessary, managing and directing outside counsel in litigation matters.
- Product Counseling: Partner closely with product and engineering teams throughout the product development lifecycle to identify and resolve potential legal issues related to new features, functionality, and market expansion.
- Regulatory Affairs: Monitor and advise the business on relevant legislative and regulatory developments impacting the company's industry and operations, translating legal requirements into actionable business guidance.
- Mergers & Acquisitions Support: Provide legal support for strategic transactions, including M&A, divestitures, and joint ventures, by participating in due diligence, drafting ancillary documents, and assisting with post-closing integration.
- Employment Law Counsel: Collaborate with the Human Resources department to provide guidance on employment-related legal matters, including offer letters, separation agreements, employee policies, and compliance with labor laws.
- Marketing & Advertising Review: Review marketing collateral, press releases, public statements, and advertising campaigns to ensure compliance with advertising laws, FTC guidelines, and intellectual property rights.
- Template & Playbook Development: Create, maintain, and update standard contract templates, legal playbooks, and self-service resources to empower business teams and improve the efficiency of the legal review process.
- Ethics and Compliance Training: Develop and deliver engaging training programs for employees on key legal and compliance topics, such as contract negotiation best practices, data privacy, and the company's code of conduct.
- Structuring Complex Transactions: Architect, draft, and negotiate non-standard, high-value commercial transactions and strategic partnerships that are critical to the company's growth.

Education & Experience
Educational Background
Minimum Education:
- A Juris Doctor (J.D.) degree from an accredited law school.

- An LL.M. in a relevant specialization such as Corporate Law, Intellectual Property, or Technology Law.
- CIPP (Certified Information Privacy Professional) certification is highly desirable.
