Core Responsibilities
Primary Functions
- Serve as the primary legal advisor to the executive leadership team and Board of Directors on all legal matters, offering sound judgment and strategic counsel on critical business decisions.
- Lead the drafting, review, and negotiation of a wide array of complex commercial agreements, including master service agreements, vendor contracts, partnership deals, licensing agreements, and customer-facing terms.
- Develop, implement, and maintain a robust corporate compliance program to ensure the company operates in full accordance with all applicable laws, regulations, and industry standards.
- Oversee the company's corporate governance framework, including managing board and committee meetings, preparing minutes and resolutions, and ensuring compliance with corporate formalities.
- Proactively identify, assess, and mitigate legal and regulatory risks across all business functions, from product development to sales and marketing.
- Manage all aspects of litigation, pre-litigation disputes, and government investigations, including selecting and overseeing outside counsel and developing case strategy.
- Provide expert guidance on labor and employment law matters, partnering with Human Resources to develop policies, manage employee relations issues, and ensure compliance.
- Manage the company's intellectual property portfolio, including trademarks, copyrights, patents, and trade secrets, and advise on IP strategy and enforcement.
- Advise on legal aspects of the company's financing activities, mergers and acquisitions (M&A), and other strategic corporate transactions, including leading due diligence efforts.
- Stay abreast of changes in laws and regulations that could impact the company's business and provide proactive advice and training to relevant stakeholders.
- Develop and manage the legal department's annual budget, ensuring efficient and effective use of resources, including management of outside counsel spend.
- Build and lead a high-performing legal team, fostering a culture of collaboration, professional development, and business-oriented legal support.
- Oversee the company's data privacy and security programs, ensuring compliance with global regulations such as GDPR, CCPA, and other emerging privacy laws.
- Structure and negotiate real estate leases and other property-related transactions for corporate offices and facilities.
- Act as the corporate secretary, maintaining corporate records and ensuring the company's good standing in all relevant jurisdictions.
- Create and deliver training programs for employees on key legal and compliance topics, such as contract management, code of conduct, and data privacy.
