Core Responsibilities

Primary Functions

  • Manage all facets of commercial and residential real estate transactions from contract execution through post-closing, including creating and maintaining detailed closing checklists.
  • Draft, review, and revise a wide variety of transactional documents, such as purchase and sale agreements, deeds, loan documents, easements, and restrictive covenants.
  • Conduct comprehensive reviews of title commitments, exception documents, and surveys, preparing detailed summaries and identifying potential issues for attorney review.
  • Prepare for and coordinate complex closings, including liaising with clients, opposing counsel, title companies, surveyors, and lenders to ensure a smooth and timely process.
  • Assist with comprehensive due diligence efforts for acquisitions and dispositions, including organizing virtual data rooms and reviewing leases, service contracts, and property-level financials.
  • Abstract and analyze commercial leases, amendments, and related documents, preparing summaries and tracking critical dates and obligations like expirations and renewal options.
  • Prepare and file essential real estate and corporate documents, including deeds, mortgages, UCC financing statements, and entity formation/dissolution paperwork, ensuring compliance with all jurisdictional requirements.
  • Coordinate with title insurance companies to clear title encumbrances, negotiate title policy coverage, and manage the satisfaction of title requirements.
  • Assist in the formation, qualification, and maintenance of corporate entities (LLCs, LPs, Corporations) used for real estate holdings, including drafting operating agreements and obtaining EINs.
  • Prepare complex closing statements, including the calculation of prorations for taxes, rent, and operating expenses, and review ALTA Settlement Statements for accuracy.
  • Draft estoppel certificates and Subordination, Non-Disturbance, and Attornment Agreements (SNDAs) and manage their distribution and execution with tenants.
  • Prepare and assemble comprehensive closing binders, both electronic and physical, ensuring all final, executed documents are properly organized and distributed to clients and stakeholders.
  • Maintain and manage an organized system for transaction files, calendars, and dockets, proactively tracking deadlines and critical dates to ensure no milestones are missed.

Secondary Functions

  • Support attorneys with land use and zoning applications, preparing submission packages and coordinating with municipal planning and zoning authorities.
  • Conduct legal research on specific real estate-related statutes, regulations, and case law under the direction of an attorney to support transaction strategy.
  • Assist with 1031 like-kind exchange transactions, ensuring strict adherence to timelines and documentation requirements set forth by the IRS.
  • Communicate directly with clients to provide status updates, gather necessary information, and answer non-legal questions, fostering strong client relationships.
  • Review and analyze environmental site assessments, property condition reports, and zoning reports as a key part of the due diligence investigation.
  • Prepare and manage wire transfer requests and trust account documentation in compliance with firm and bar association rules.
  • Support ad-hoc data requests and exploratory data analysis.
  • Contribute to the organization's data strategy and roadmap.
  • Collaborate with business units to translate data needs into engineering requirements.
  • Participate in sprint planning and agile ceremonies within the data engineering team.

Required Skills & Competencies

Hard Skills (Technical)

  • Document Drafting: Expertise in drafting and redlining complex legal documents including purchase agreements, deeds, and loan packages.
  • Title and Survey Review: Proficient in analyzing ALTA/NSPS land title surveys and reviewing title commitments to identify and resolve issues.
  • Closing Coordination: Deep understanding of the entire closing process and the ability to prepare and balance ALTA/HUD settlement statements.
  • Real Estate Software: Experience with closing software (e.g., SoftPro, RamQuest, Qualia) and document management systems.
  • Corporate Formations: Knowledge of forming and maintaining legal entities (LLCs, etc.) used in real estate transactions.
  • Microsoft Office Suite: Advanced proficiency in Microsoft Word (including styles and redlining), Excel, and Outlook.

Education & Experience

Educational Background

Minimum Education:

  • Paralegal Certificate from an ABA-approved program or an Associate's Degree in Paralegal Studies.

Preferred Education:
