Core Responsibilities

Primary Functions

  • Develop and maintain complex financial models to support investment decisions, including discounted cash flow (DCF), leveraged buyout (LBO), accretion/dilution, and comparable company/transaction analyses.
  • Conduct comprehensive due diligence on potential acquisition targets, coordinating with internal teams and external advisors to assess financial, commercial, operational, and legal risks and opportunities.
  • Prepare detailed investment memorandums, presentations, and reports for the investment committee, board of directors, and other key stakeholders to support decision-making processes.
  • Analyze and interpret large, complex datasets to identify key business drivers, financial trends, and potential synergies related to proposed transactions.
  • Assist in the structuring of M&A transactions, including the evaluation of various financing options, capital structures, and their impact on returns and risk profiles.
  • Perform in-depth industry and market research to identify potential investment targets, evaluate competitive landscapes, and understand macroeconomic trends affecting the sector.
  • Support senior team members in all aspects of the deal execution process, from initial screening and indication of interest (IOI) to definitive agreement negotiation and closing.
  • Manage the virtual data room (VDR) and coordinate the efficient flow of information between all parties involved in a transaction, ensuring timely responses to diligence requests.
  • Review and analyze legal transaction documents, such as purchase agreements, term sheets, and shareholder agreements, to identify key terms and assess potential financial implications.
  • Build and maintain a robust pipeline of potential transaction opportunities by cultivating relationships with investment bankers, industry contacts, and other intermediaries.
  • Monitor the financial and operational performance of portfolio companies post-acquisition, tracking key performance indicators (KPIs) and synergy realization against the initial investment thesis.
  • Create and present sophisticated valuation analyses and financial projections for both buy-side and sell-side transactions, clearly articulating assumptions and methodologies.
  • Collaborate closely with cross-functional teams, including legal, accounting, tax, and operations, to ensure seamless transaction execution and integration planning.
  • Assist in the negotiation of key transaction terms and definitive agreements by providing analytical support and financial insights to the deal team leads.
  • Develop materials for and participate in meetings with target company management teams and external advisors throughout the transaction lifecycle.
  • Support the preparation of regular reporting on M&A pipeline activity, market intelligence, and portfolio performance for executive leadership.
  • Evaluate the strategic fit of potential targets against the company's long-term growth objectives and investment criteria.
  • Conduct sensitivity and scenario analysis to stress-test financial models and understand the potential impact of various outcomes on investment returns.
  • Assist in the post-merger integration (PMI) process by tracking the achievement of key milestones, cost savings, and revenue synergies.
  • Synthesize research and analysis into concise and compelling narratives that effectively communicate the investment rationale and associated risks.

  • Mentor junior analysts and interns, providing guidance on financial modeling, valuation techniques, and due diligence best practices.

Required Skills & Competencies

Hard Skills (Technical)

  • Advanced Financial Modeling: Mastery of building complex, three-statement financial models from scratch, including DCF, LBO, and M&A accretion/dilution models.
  • Valuation Methodologies: Deep understanding of various valuation techniques, including comparable company analysis, precedent transaction analysis, and discounted cash flow.
  • Advanced Microsoft Excel: Expert-level proficiency, including pivot tables, complex formulas, data tables, and scenario management. VBA/macros is a strong plus.
  • Financial Statement Analysis: Ability to dissect and interpret income statements, balance sheets, and cash flow statements to assess company performance and health.
  • Due Diligence Process: Experience conducting or supporting financial, commercial, and operational due diligence.
  • Presentation Skills (PowerPoint): Ability to distill complex financial analysis into clear, concise, and compelling presentations for an executive audience.
  • Data & Research Platforms: Proficiency with financial data sources such as Capital IQ, PitchBook, Bloomberg, and FactSet.
  • Data Analysis (SQL/Python): Basic to intermediate proficiency in SQL for data extraction and analysis is highly preferred; experience with Python or R is a bonus.

Education & Experience

Educational Background

Minimum Education:

  • Bachelor's Degree

Preferred Education:

  • Master's Degree (MBA, Master in Finance) or professional certification (CFA, CPA).

Experience Requirements

Typical Experience Range:

Preferred:
